SCO To Restate Earnings

SCO today announced they will be restating earnings. What I found most interesting is SCO's deal with Baystar going from $900K in equity to $1.6M in liabilities:
For the first quarter and the second quarter, the Company expects to reclassify accrued dividends related to the Company's previously issued Series A and Series A-1 Convertible Preferred Stock from equity to current liabilities in the amounts of approximately $879,000 and $1,619,000, respectively. In October 2003, the Company issued shares of Series A Convertible Preferred Stock in connection with its $50,000,000 private placement, which shares were subsequently exchanged for and replaced with shares of Series A-1 Convertible Preferred Stock. When the Company repurchased all outstanding shares of Series A-1 Convertible Preferred Stock in July 2004, the Company's obligation to pay dividends on such shares terminated. The accrued dividends were never paid and ultimately were recorded in equity upon the completion of the repurchase transaction. In addition, the dividends were properly captured in the calculation of earnings per share in the periods above.

The order from Magistrate Judge Wells is now available in the SCO v. IBM case at sco.tuxrocks.com. I've made an initial run through and it doesn't look good to me. IBM has been ordered to produce all versions of AIX and Dynix along with notes, whitepapers, etc. Also, at the end, you'll see language indicating a revised schedule will be needed (that's right - more delay).

I'm sure we'll be getting more analysis and hopefully a transcribed version here on the site soon.

A Presumption of Public Access

Recently, Pamela Jones at GrokLaw wrote a piece concerning The Public's Right to Know - How Far Does It Go? This is an interesting way to frame the issues related to G2's recent attempts to intervene in the SCO v. IBM lawsuit to get the courts to decide whether sealed documents were properly sealed and if not, to release them to the public. I say interesting because there is a presumption that documents related to judicial proceedings are public documents covered by a common law right of access (Nixon v. Warner Communications, 435 U.S. 589, 599). Jones's article wanders over quite a bit of ground, posing more questions than it seems to answer, and relying on case law and legal positions that seem to have little, if anything to do with the current issue. It also seems to me her article attacks the problem from the position that one has to show how public access trumps privacy concerns. It seems it would be more proper to frame the issue as one of "when can the presumption of access to public documents be limited?" In fact, the very study that she cites extensively throughout her piece, http://www.uscourts.gov/privacyn.htm, recognizes that
"there is no 'expectation of privacy' in case file information".
So, I'm going to attempt to clarify a little better what the presumption of public access to court records means, how it may be limited especially with regard to the G2 actions, and discuss a little bit about the future of privacy related to court documents.

SCO's original complaint against IBM included several exhibits. Most of these exhibits have already been discussed extensively on Groklaw and elsewhere: the original software agreements, including the side letter and Amendment X.

Exhibit E has received less attention. It is a copy of Darl McBride's letter to Sam Palmisano of IBM, giving notice of alleged breaches of the software agreements, and demanding a cure of the breaches within 100 days.

I transcribed this document almost a year ago for Groklaw, but so far as I know it was never published there, nor does it appear to be available elsewhere any more. At least, I couldn't find it on SCO's site, nor on tuxrocks.

Lest this worthy prose perish from the earth, I present it now to the readers of IP-WARS.

Why We Hate SCO



Naturally we hate SCO because of what they have tried to do.  They have attempted to defame Linux, accusing the code contributors of being thieves on a massive scale.  They have tried to remove Linux from being a free (as in speech) operating system and make it commercial.  And they have also shown themselves to be of unrelentingly malevolent character.  The lies they have told are legion and nearly legendary.

But I think there is more to our hatred than just the surface facts.  What SCO has done, and equally the way they have done it have stirred at archetypes and resentments which lie at the heart of geekdom and then go even deeper.

O'Gara Requests SCO v IBM Sealed Docs Released

Maureen O'Gara yesterday announced that through her lawyers she has petitioned the court to release all documents related to the SCO v IBM case that don't are sealed due to "specific competitive injury".  She further asks that the protective order allowing either party to unilaterally seal documents be modified to force the proving of reason.  GL has a report here and the actual filings are available here

While the federal courts continue to do their best glacier impressions, SCO is currently scheduled to encounter an actual trial less than 40 days from now (on January 7) in Michigan's 6th Circuit.

Ever the reluctant litigant, SCO moved on November 17 to stay its case against DaimlerChrysler indefinitely.

Requesting kernel sources from SCO

Here are the details of my attempt to get the sources for a Linux kernel which SCO had distributed in binary form on its public FTP site. Although my correspondence with a representative of SCO support was polite, and I appreciate his responses, he ultimately refused by fulfull SCO's obligations under the GPL, citing instead a SCO "Legal Notice." As an aside, binaries and sources for other versions of the Linux 2.4 kernel are still available from SCO now, by public FTP, and without any such "Legal Notice" in sight.
